Welcome to Cportal. These Terms of Service ("Terms") govern your use of our school management software platform. By subscribing to and using Cportal, you agree to be bound by these Terms. Please read them carefully.

1. Acceptance of Terms

By creating an account, subscribing to our service, or using Cportal in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use Cportal.

2. Service Description

Cportal is a Software-as-a-Service (SaaS) platform that provides school management tools to educational institutions in Nigeria. Our service includes:

  • Student admission and registration management
  • Report card generation and management
  • School fees tracking and receipt generation
  • Attendance recording and management
  • Parent portal access
  • Administrative tools and reporting

The specific features available depend on your subscription plan. We reserve the right to modify, update, or discontinue features with reasonable notice.

3. Eligibility

Cportal is intended for use by educational institutions (schools) in Nigeria. By subscribing, you represent that you are authorized to bind your school to these Terms and that you are at least 18 years of age. Individual users (teachers, administrators, parents) must be authorized by the school to access the platform.

4. Account Registration and Security

4.1 Account Creation: To use Cportal, your school must create an account by providing accurate, complete registration information including school name, address, contact details, and authorized administrator information.

4.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

  • Use strong, unique passwords
  • Not share login credentials between multiple users
  • Immediately notify us of any unauthorized access or security breach
  • Ensure only authorized personnel have access to your account

4.3 User Management: Schools are solely responsible for managing user accounts, permissions, and access levels within their Cportal account.

5. Data Ownership and Responsibility

5.1 Your Data: All data you enter into Cportal (including student records, academic information, attendance, fees, and parent information) belongs to your school. You retain all ownership rights to your data.

5.2 Our Access: Cportal does not access, view, or process the operational data you enter into the system. We provide the software platform only.

5.3 Your Responsibilities: You are solely responsible for:

  • The accuracy and legality of data entered into Cportal
  • Obtaining necessary consents from parents/guardians for data processing
  • Compliance with Nigerian Data Protection Regulation (NDPR) and other applicable laws
  • Backing up and exporting your data regularly
  • Managing data subject requests from parents and students
  • Ensuring appropriate use of the platform by your staff

5.4 Data Backup: While we maintain system backups for disaster recovery, you are responsible for exporting and maintaining your own backups of important data.

6. Subscription and Payment

6.1 Subscription Plans: Cportal offers different subscription plans (Lite, Standard, Premium) with varying features and pricing. Current pricing is available on our website.

6.2 Payment Terms: Subscriptions are billed annually in advance. Payment is due immediately upon subscription or renewal. Late payments may result in service suspension.

6.3 Price Changes: We may change subscription prices with at least 30 days' notice. Price changes will apply to renewals after the notice period.

6.4 Refund Policy: We offer a 30-day money-back guarantee for new subscriptions. After 30 days, subscription fees are non-refundable except as required by law.

6.5 Taxes: All fees are exclusive of applicable taxes. You are responsible for paying all taxes associated with your subscription.

7. Acceptable Use Policy

You agree not to use Cportal to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the service
  • Use the service for any fraudulent or illegal purpose
  • Share your account access with unauthorized third parties
  • Reverse engineer, decompile, or attempt to extract source code
  • Resell or redistribute access to Cportal

Violation of this policy may result in immediate termination of your account without refund.

8. Service Availability and Support

8.1 Uptime: We strive to maintain high service availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice when possible.

8.2 Support: Technical support is provided based on your subscription plan. Premium subscribers receive priority support.

8.3 No Warranty: Cportal is provided "as is" without warranties of any kind. We do not warrant that the service will be error-free or meet all your requirements.

9. Intellectual Property

9.1 Our Rights: Cportal, including all software, designs, graphics, and content, is owned by us and protected by intellectual property laws. You receive a limited license to use the service according to these Terms.

9.2 Your Rights: You retain all rights to the data and content you input into Cportal. By using our service, you grant us a limited license to host and process your data solely to provide the service.

9.3 Feedback: If you provide feedback or suggestions about Cportal, we may use them without obligation to you.

10. Termination

10.1 By You: You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

10.2 By Us: We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay subscription fees
  • Engage in fraudulent or illegal activities
  • Use the service in a manner that harms our systems or other users

10.3 Data Export: Upon termination, you have 30 days to export your data. After this period, your data may be permanently deleted.

10.4 Effect of Termination: Upon termination, your right to access Cportal ceases immediately. Provisions that should survive termination (including data ownership, intellectual property, and limitation of liability) will continue to apply.

11. Limitation of Liability

To the maximum extent permitted by Nigerian law:

11.1 Cportal shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or business interruption.

11.2 Our total liability for any claims related to Cportal shall not exceed the amount you paid for the service in the 12 months preceding the claim.

11.3 We are not responsible for any damage or loss resulting from:

  • Your failure to backup data
  • Unauthorized access due to your security failures
  • Internet connectivity issues
  • Your violation of these Terms
  • Force majeure events beyond our control

12. Indemnification

You agree to indemnify and hold harmless Cportal, its owners, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the service, (b) your violation of these Terms, (c) your violation of any laws or third-party rights, or (d) the data you input into Cportal.

13. Governing Law and Disputes

13.1 Governing Law: These Terms are governed by the laws of the Federal Republic of Nigeria.

13.2 Dispute Resolution: In the event of any dispute, we encourage you to contact us first to seek an informal resolution. If we cannot resolve the dispute informally, disputes shall be resolved through arbitration in Nigeria in accordance with Nigerian arbitration laws.

14. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes by email or through a notice on our platform at least 30 days before the changes take effect. Your continued use of Cportal after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you may cancel your subscription.

15. General Provisions

15.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cportal.

15.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

15.3 Waiver: Our failure to enforce any provision does not waive our right to enforce it later.

15.4 Assignment: You may not transfer or assign your rights under these Terms without our written consent. We may assign our rights without restriction.

15.5 No Agency: Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and Cportal.
